  • Financial Institutions and Services

Major Projects and Infrastructure

  • Our dedicated Major Projects and Infrastructure group works on major infrastructure projects and project financings in Europe, the Middle East, Africa and Asia. With extensive expertise across many sectors, including energy, healthcare, telecoms, shipbuilding, transportation, waste/water and PFI/PPP sectors, we act for government agencies, sponsors, developers, contractors, and finance providers.
  • The group includes lawyers with backgrounds in private and public finance, project development and project management, M&A, construction and engineering, environmental, regulatory and commercial work.
  • It is this combination of industry knowledge, broad legal expertise and track record in domestic and international projects that enables us to provide innovative solutions that reconcile the interests of government agencies, sponsors, financiers and other stakeholders within varying political and commercial environments.

Procurement Strategy

  • We have extensive expertise in advising on procurement law from all perspectives including that of the awarding authority, bidder and receiver of procurement processes, as well as assisting the state in respect of allegations of procurement breach.
  • We provide advice on whether a body is governed by the public procurement directives.  We write procurement guides for use by procurement managers and their teams and devise workshops to ensure that those teams have a full understanding of the principles which apply.
  • We advise on general procurement strategy by awarding bodies, including choice of procurement procedure, pre-qualifications issues, award criteria and evaluation issues.
  • We also advise on procedural issues such as the permissibility of contract clarifications/negotiation and on obligations vis a vis contractors, debriefing meetings and how to manage risks of challenge including actually defending a threatened challenge.
  • Our extensive procurement experience will help guide the advisory team through every stage of the process and generally ensure that the procurement is concluded in an open and fair way.

Construction Risks and Choice of Procurement Route

We advise on construction and engineering law in the major projects and infrastructure sectors including:

  • Core construction and engineering contracts
  • Alternative  methods of construction
  • Legal aspects of performance specifications
  • Joint ventures
  • EPC contracts
  • Consortium agreements
  • Maintenance and service agreements
  • Warranty claims
  • Project security

It is important for any employer to have clearly defined goals and objectives so that it can ensure that the most suitable mode of contracting is adopted for its choice of infrastructure project. No hard and fast rules can be stated on the appropriate methods of contracting that may be adopted on any given project. Much will depend upon the employer’s goals and objectives, which may well include some of the following:

  • Time considerations
  • Desired level of involvement in the construction process
  • Control over design
  • Flexibility pre-construction and during construction to change the design
  • Fixed or guaranteed price
  • Site restrictions

We can assist in the development of these goals and objectives through the preparation of strategic risk analysis papers and advice on the various choice of contractual structures that can be adopted for any chosen infrastructure project.

We are also experienced in addressing the complex disputes that can arise in these sectors through dispute resolution boards, expert determination, international arbitration or court proceedings.

Property and Planning

  • Our experience informs us that it is important that full legal due diligence on property issues is conducted at an early stage, as this can affect project timing when the procurement process gets underway.  Our advice includes providing all property, planning, conservation and environmental law advice required during both the pre-procurement and procurement phases of the project.

Taylor Wessing has considerable experience of advising government agencies on all these matters and many others to help achieve successful project delivery.
